Business LawSome clients come to us with corporations or limited lia bility companies that they formed themselves directly through a service company or their accountant. More often than not, we find problems with these entities. The records for these companies may not be complete, the off-the-shelf documents may be inappropriate, the organizers may not entirely adhere to the required legal formalities or the business may not be operated properly through the entity. When these types of problems exist, there is some risk that the company's limited liability can be challenged. The fundamental point of setting up an entity is to limit liability.

Some clients believe that they save money by doing it themselves. In fact, it may take us more time to correct a problem than to do it right in the first place. In some cases, we can never entirely correct the problem. In any event, the legal fees involved in establishing an entity are not high. Using a knowledgeable lawyer at the outset will help in the proper selection of the type of entity and the state of its organization and the drafting of the appropriate organizational documents.
